Noetic provides digital tools and software for Salesforce professionals,
including the Ariad analysis suite. These tools help professionals
analyse, refine and enhance Salesforce environments. The platform is
currently offered in beta: features, usage limits and availability may
change, and the tools are provided on an "as is" and "as available"
basis.
2.2 Accounts and Eligibility
You must provide accurate registration details and keep your login
credentials secure. You are responsible for activity carried out under
your account. Noetic tools are intended for business and professional use.
2.3 Plans, Billing and Auto-Renewal
Current plans: Noetic is presently free to use during beta, subject to
fair-use limits (for example, a capped number of analysis runs per day).
Paid monthly plans may be introduced in the future.
Recurring billing: Where a paid plan applies, subscriptions are billed
monthly in advance and renew automatically each month until cancelled.
Payments: Payments are processed by a third-party payment provider.
Noetic does not store your full card details.
Taxes: Prices are exclusive of VAT and any other applicable taxes, which
may be added based on your location and status.
Price changes: We may change prices or plan features on at least 30
days' notice before your next billing date; continued use after the
change takes effect constitutes acceptance.
2.4 Cancellation and Refunds
Cancel anytime: You may cancel at any time. Cancellation takes effect at
the end of the current monthly billing cycle, and no partial refunds are
given for mid-cycle cancellation.
Business goodwill period: For business customers, we offer a voluntary
7-day evaluation period from the start of a first paid subscription. To
request a refund under this goodwill period, email [Insert Contact Email]
within 7 days. It applies only to the initial subscription, not to
renewals or reactivations.
Consumer cancellation rights: If you contract with us as a consumer, you
have a statutory right to cancel within 14 days under the Consumer
Contracts (Information, Cancellation and Additional Charges) Regulations
2013. If you ask us to begin the service within this period, you accept
that you may lose this right once the service has been fully performed,
and you may be charged for what has been provided up to cancellation.
Nothing in these terms affects your non-excludable statutory rights.
2.5 Acceptable Use
You agree not to:
use the tools unlawfully or in breach of any third-party or Salesforce terms;
connect to any Salesforce environment without proper authority;
reverse engineer, resell, or attempt to disrupt or gain unauthorised access to the platform;
exceed applicable usage limits or interfere with other users' access.
2.6 Intellectual Property
Noetic and its licensors own all intellectual property rights in the
platform, tools and content. You are granted a limited, non-exclusive,
non-transferable right to use the tools for their intended purpose during
your subscription. You retain all rights in your own data and your
Salesforce environment.
2.7 Limitation of Liability
This agreement is intended principally as a Business-to-Business (B2B)
relationship. Noetic tools are designed for qualified Salesforce
professionals who retain ultimate responsibility for their Salesforce
environments.
Professional responsibility: You are responsible for implementing,
testing and verifying any insights or changes derived from the tools.
Exclusion: To the maximum extent permitted by law, Noetic shall not be
liable for any indirect or consequential loss, or for loss or corruption
of data, flows, logic or metadata within any Salesforce environment.
Cap: Noetic's total liability for any claim shall not exceed the greater
of (a) the total amount you paid for the service in the month in which
the claim arose, or (b) £100.
Non-excludable liability: Nothing in these terms excludes or limits
liability for death or personal injury caused by negligence, for fraud
or fraudulent misrepresentation, or for any other liability that cannot
be excluded or limited under applicable law, including a consumer's
statutory rights.
2.8 Suspension and Termination
We may suspend or terminate access if you materially breach these terms,
use the service unlawfully, or where necessary to protect the platform or
other users. You may stop using the service and close your account at any
time from your account page.
2.9 Changes to these Terms
We may update these terms from time to time. Material changes will be
reflected by updating the "Last updated" date and, where appropriate, by
email or in-app notice. Continued use after changes take effect
constitutes acceptance.
2.10 Acceptance
Continued use of Noetic tools, the website, or subscription services
constitutes full and binding acceptance of these Terms and Conditions and
the Privacy Notice.
